On this page you will find the statutes of the French Open Space Makers association, which is registered in Nanterre (France).

Association aiming to create, support and animate a national space ecosystem capable of developing know-how, knowledge and free space material in a collaborative, open and responsible way.

 

ARTICLE 1 - CONSTITUTION - NAME


It is formed between the undersigned and any other person adhering to the present statutes, an association for the promotion and development of space activities, governed by the law of July 1, 1901, subsequent laws and the present statutes, under the name of :

Open Space Makers

To which reference will be made hereafter under the name FEDERATION.

 

ARTICLE 2 - DURATION

The association is established for an indefinite period.

ARTICLE 3 - REGISTERED OFFICE

Its registered office is located at 52 rue Paul Lescop - 92000 Nanterre.
It may be transferred by simple decision of the office.

 

ARTICLE 4 - PURPOSE AND MISSIONS

The association works for the benefit of the general interest and aims to open the world of space infrastructure to as many people as possible so that each citizen can anchor his action in a process of creating a future world.

In particular, it aims to create, support and animate a national space ecosystem capable of developing know-how, knowledge and free space equipment in a collaborative, open and responsible manner. To make this possible, the association works for :

  • Federating the different components of civil society (Fablab, Hackerspaces, Makerspaces, associations, collectives, enthusiasts, etc.) around space projects.
  • To develop on the national territory by relying on places close to each citizen and by establishing partnerships with already existing entities.
  • To set up, support and animate tools, including a web platform, to develop experience sharing, project management, design and collaborative and open learning.
  • To build a framework, based on a "FEDERATION Charter" in which all motivated new entrants can interact with traditional space actors (institutions, laboratories and industry).
  • To disseminate the work carried out by its members.
  • To ensure that any space project is taken into account and supported if it respects the " Charte FEDERATION " and if it complies with the legislation in force, and to provide the appropriate advice to achieve this.
  • Managing the "FEDERATION - Open Space Makers" brand and its declinations, ensuring in particular their proper use in accordance with the FEDERATION Charter.

To carry out, in a general way, all the missions necessary to the development of its object .
This association is situated - by these goals - outside any political, ideological, denominational or racial influence.

ARTICLE 5 - COMPOSITION OF THE ASSOCIATION

The association is composed of :

5.1 FOUNDING MEMBERS

The association was created on the initiative of the following people:

  • Yannick AVELINO
  • Nicolas CHUECOS
  • Anne-Lise COUDRY
  • Damien HARTMANN
  • Justyna SWAT

5.2 ACTIVE MEMBERS

Only active members have the right to vote. The status of active member is open to any natural person adhering to the present statutes and paying the membership fee. They have the right to vote if they are up to date with their membership fees on the day of the assembly, and if they have adhered for more than six months before the date of the said assembly. In order to be a candidate for the office of the association, the member must have joined during the 12 months preceding the election at the end of the first year of existence of the association.

5.3 USER MEMBERS

User members do not have the right to vote and do not participate in the administration of the association. They are the people who participate in the various FEDERATION space projects. The status of user member is acquired by registering on the FEDERATION web platform and by adhering to the values and rules of the "FEDERATION Charter". They are exempted from membership fees.

5.4 OTHER NON-VOTING MEMBERS

  • Members with a Sustaining Membership.
  • Honorary members (this title is awarded by the office to individuals because of their reputation in the field of space exploration or research, or because of their action in favour of the latter).

ARTICLE 6 - ACQUISITION AND LOSS OF MEMBERSHIP

 

6.1 ACQUISITION OF MEMBERSHIP


Any natural person may apply to join the association, subject to adherence to the present statutes, the "FEDERATION Charter" and in particular

  • for active members pay an entrance fee equal to the membership fee set at the annual general meeting . The renewal of this membership is carried out by the payment of the membership fee, within two months after the anniversary date of the membership.
  • for adherent members register on the FEDERATION web platform.

Membership is annual.

The acquisition of the status of active member is subject to the approval of the office of the association. Any person wishing to become an active member of the association must apply for membership in writing.

The office may reject any application for membership or renewal with a reasoned opinion to the interested parties.


6.2 LOSS OF MEMBERSHIP


Membership in the association is lost:

  • For non-payment of the current annual membership fee.
  • By resignation of the interested party.
  • By radiation pronounced by the board of directors which rules sovereignly, for serious reasons (penal condemnation...) or serious fault against the honor or the legitimate interests of the association. In this case, the interested party has the possibility to appeal against this decision at the next general assembly.
  • By death.

The loss of membership does not entail either reimbursement of the annual membership fee already paid, or compensation or damages of any kind.

 

ARTICLE 7 - MEMBERSHIP FEES

  • The amount of the contributions of active members can be revised each year, on the proposal of the board, by decision of the annual general meeting.
  • The user members are not subject to membership fees, however the introduction of a membership fee for user members may be requested by the board and decided at the annual general meeting.
  • The amount of the supporting memberships is free.
  • Honorary members are not subject to membership fees.

ARTICLE 8 - RESOURCES OF THE ASSOCIATION


The association's resources include :

  • membership fees,
  • donations of any kind, in accordance with the legislation in force,
  • the product of patronage, sponsorship or partnership with private organizations,
  • income from its property and from the proceeds of sales and fees received for services rendered,
  • subsidies that may be granted to it by the structures of the European Union, the State, local authorities, public authorities or public establishments,
  • any other resources or grants that would be granted to it and that would not be contrary to the laws in force.

The Executive Committee manages the resources of the association.

 

ARTICLE 9 - INTERNAL REGULATIONS AND "CHARTER FEDERATION"

9.1 RULES OF PROCEDURE

The board will publish, if it deems it useful, an internal regulation of the association which will determine the conditions of detail necessary for the execution of the statutes and the good functioning of the association.


9.2 "CHARTER FEDERATION

The board will publish a "FEDERATION Charter" describing the values, operating rules and intellectual property rules applying to any type of member, partner and project in FEDERATION. It will contain (as a minimum) :

  • The rules of intellectual property contributed and developed: rights of use, dissemination and exploitation of results (tangible or intangible, such as data, knowledge or information resulting from projects).
  • The rules of sharing and confidentiality between project members, FEDERATION members, partners and the general public.
  • Rules of eligibility for projects.

ARTICLE 10 - ADMINISTRATION

The association is administered by a board composed of a president, a secretary and a treasurer. They are appointed for three years by the general assembly of active members, by a majority of the members present or represented. They are re-eligible. A board of directors elected from among the active members may be added to this office.


The Executive Committee will meet at least once a quarter and more often if necessary. It is vested with the widest powers to manage and administer the association. The minutes of its meetings are signed by the president and the secretary. They record the various decisions taken by the executive committee by a majority of the members present.


ARTICLE 11 - COMPOSITION AND POWERS OF THE EXECUTIVE COMMITTEE

The President may be assisted by Vice-Presidents . He convenes the meetings of the general assembly and the board. He represents the association in all acts of civil life and is invested with all powers to this effect. In particular, he has the right to intervene in legal proceedings in the name of the association as defendant and as plaintiff, with the authorization of the board.
He presides over all assemblies and meetings.
If the President is unavailable, the Executive Committee shall be convened at the request of any of the members of the Executive Committee in order to ascertain this unavailability and to appoint one of the Vice-Presidents to replace him. The Vice-President then receives the same powers as the President.


The Secretary may be assisted by Vice-Secretaries. He is in charge of correspondence, archives, notices of meetings and assemblies, the drafting of their minutes and the keeping of the registers provided for by the law.


The Treasurer may be assisted by a Vice-Treasurer. He is in charge of the management of the association's assets. He makes all payments, receives all sums due to him and gives discharge. He proceeds to the collection of memberships. He can alienate the values belonging to the association only after the agreement of the bureau. He keeps regular accounts of the operations carried out by him and reports on his management at the annual general meeting.
The financial management of the bank or postal account(s) requires the signature of the President or, by delegation, of the Treasurer. The commitment of expenses above a threshold determined by the General Assembly requires the agreement of at least two members of the Executive Committee.


All members of the Bureau may be assisted in the performance of their duties by one or more members of the Association.

ARTICLE 12 - REMUNERATION

The functions of members of the Bureau are free of charge. Reimbursement of expenses incurred for the needs of the association is possible subject to the agreement of the Bureau and on presentation of supporting documents.

ARTICLE 13 - ASSEMBLIES AND MEETINGS


The ordinary general assembly of the association is held once a year, on a date fixed by the board, on convocation by individual notice.


It is chaired by the President or, in case of impediment, by the Vice-President or, failing that, by the Secretary. The President presents the questions on the agenda and leads the debates.


The Chairman may invite, without the right to vote, any person whose presence seems useful to him for the debates.


It includes active members who are up to date with their subscriptions. It hears the reports presented to it by the President, the Secretary and the Treasurer, concerning the moral and financial management of the association, approves or corrects the accounts of the closed financial year and deliberates on all the questions brought to its agenda by the board or at the request of the members after prior proposal to the board. The deliberations are taken by an absolute majority of the members present or represented.

The Ordinary General Meeting can only deliberate validly if at least half of its members with voting rights are present or represented.


When the quorum is not reached, the President convenes a new ordinary general meeting with the same agenda. In this case, the ordinary general meeting deliberates validly whatever the number of its members present or represented.


The deliberations are recorded in minutes signed by the president and the secretary.


The general assembly, whether ordinary or extraordinary, is convened with a prior period of at least fifteen days, by any means, by the executive committee which determines the agenda. Each active member has the right to one vote and can be represented by another member to whom he must deliver a written power of attorney. Each member cannot hold more than three powers of attorney.


Voting by correspondence is forbidden. Voting takes place by a show of hands, or by secret ballot at the request of one third of the members present.


The general assemblies can only decide on the questions appearing on the agenda. The general assemblies are ordinary or extraordinary: their regularly adopted decisions are binding for all members.

 

ARTICLE 14 - FOUNDING ADVISOR

The role of Founding Advisor is granted to the Centre National d'Etudes Spatiales (CNES) to mark its historic role in the creation of FEDERATION. He does not have the right to vote.

His mission is to accompany the association and in particular he ensures :

  • the respect of the statutes and the FEDERATION Charter,
  • compliance with the decisions taken by the general meeting.

At his initiative, the President may invite the Founding Councillor to participate in the meetings of the Bureau and/or the assemblies.


The CNES designates from among its members a natural person to represent it. The duration of this mission is at the discretion of the CNES, which may abandon it upon written request to the Executive Committee.

ARTICLE 15 - THE GARDEN FEDERATION

The Garden brings together the association's partners, active members, honorary members, and experts or other personalities working for the development of FEDERATION.


This body has no voting rights. It animates exchanges between the partners and the association for the development of the FÉDÉRATION ecosystem and acts as a think tank and feeds debates on the orientations in terms of technological development, ethical, societal and environmental aspects.


ARTICLE 16 - SPECIAL CASES

Amendments to the present statutes and to the "FEDERATION CHARTER" may only be made at an extraordinary general meeting called by the board, on a specific agenda.

The majority at an extraordinary general meeting is two-thirds of the members present or represented. The same majority will be necessary to decide on its affiliation to a union of associations or a federation, its merger with another association pursuing similar goals, or its dissolution.

In the event of voluntary or forced dissolution of the association, the general assembly will decide by a two-thirds majority of the members present or represented, on the devolution of the association's assets to one or more similar organizations, without being able to attribute to the members anything other than their contributions.

If during two extraordinary general assemblies the quorum could not be reached, a new general assembly is convened which will be able to take decisions by a simple majority of the members present or represented.

Article 17 - ACCOUNTING

The fiscal year begins on January 1 and ends on December 31. As an exception, the first fiscal year will begin on the day of publication of the constitution of the association in the Official Journal to end on December 31 of the next year next.
